Preamble
Preamble This Ecluso UI Kit License (the "License") sets forth the terms under which you may acquire and use the Ecluso UI Kit product. The Ecluso UI Kit is a comprehensive design system for Figma, including design tokens, styles, components, and prebuilt section templates. The Ecluso UI Kit is licensed, not sold.
By using, accessing, or distributing the Ecluso UI Kit, you agree to the terms of this License. If you do not agree to these terms, you may not use the product.
1. Definitions
1.1. "Ecluso UI Kit" Means the complete set of design assets provided by Ecluso, including design tokens (such as colors, typography, spacing), styles, components, and section templates for use within Figma.
1.2. "Licensed Materials" Means all elements, files, assets, and content included in the Ecluso UI Kit, including any updates, modifications, adaptations, or derivative works thereof.
1.3. "Licensee" Means the individual or legal entity that has obtained a valid license to use the Ecluso UI Kit.
1.4. "Competing Product" Means any design system, UI kit, component library, template library, starter kit, or similar product whose primary value is the provision of UI components, layouts, or design assets, whether distributed for free or for a fee.
1.5. "End Product" Means a unique final work (e.g., a specific client website, mobile application, deck, or internal tool) created using the Licensed Materials, which is customized for a specific use case and is not a Competing Product.
2. Grant of License
2.1. Ecluso grants the Licensee a non-exclusive, non-transferable, worldwide, perpetual, and royalty-free license to use the Licensed Materials within Figma for designing, prototyping, and to implement the designs in code (e.g., HTML, CSS, JavaScript, React, etc.) strictly for the creation of unique End Products, subject to compliance with this License.
2.2. The Licensee may copy, modify, and integrate the Licensed Materials into their own design files and combine them with other assets.
3. Permitted Uses
3.1. Creating an unlimited number of mockups, prototypes, and final design deliverables for internal use or for clients.
3.2. Adapting, transforming, or building upon the Licensed Materials to create unique End Products. The Licensee retains ownership of their specific modifications and the resulting End Product, but the underlying Licensed Materials incorporated therein remain the property of Ecluso.
3.3. Exporting visual assets (such as PNG, JPG, or PDF) and interactive design prototypes generated in Figma using the Licensed Materials.
3.4. The Licensee may deliver final design outputs to clients; however, the Licensee may not transfer or provide access to the Licensed Materials or source design files (including Figma files, components, or tokens) unless the recipient holds a valid Ecluso UI Kit license.
4. Multi-User and Team Use
4.1. A single-user license authorizes one individual to use the Ecluso UI Kit.
4.2. To enable use by multiple individuals within the same organization, a team license must be purchased.
4.3. Sharing, transferring, sublicensing, or otherwise making the Licensed Materials available to any third party without prior written consent from Ecluso is prohibited.
5. Restrictions
5.1. The Licensee may not:
(a) Redistribute, sublicense, sell, resell, rent, lease, or otherwise make the Licensed Materials available as a standalone product or as part of any Competing Product;
(b) Extract, scrape, or programmatically copy the Licensed Materials for the purpose of redistribution or reuse outside the scope of this License;
(c) Use the Licensed Materials, in whole or in part, to create or contribute to any Competing Product;
(d) Except for unique End Products created for a specific client or internal project, sell, license, distribute, or otherwise make available any coded, no-code, or low-code implementation derived from the Licensed Materials (including but not limited to implementations created using HTML, CSS, JavaScript, React, Vue, Svelte, Framer, Webflow, Bubble, or similar tools) as a standalone product, template, starter kit, theme, UI library, or any product whose primary value is the UI or layout.
An End Product must be created for a single, specific client or use case and may not be reused, resold, or adapted for multiple customers.
5.2. For the avoidance of doubt, publishing or sharing any such implementations on marketplaces, repositories, or template libraries constitutes redistribution under this License.
6. Ownership and Copyright
6.1. All rights, title, and interest in and to the Ecluso UI Kit and the Licensed Materials remain the exclusive property of Ecluso or its licensors.
6.2. This License does not grant the Licensee any rights to Ecluso’s trademarks, service marks, patents, or other intellectual property, except as expressly stated herein.
7. Termination
7.1. This License remains in effect until terminated. Any breach of this License will result in automatic termination without notice.
7.2. Upon termination, the Licensee must immediately cease all use of the Licensed Materials for new projects and delete all source copies. Existing End Products previously delivered to clients or deployed in production may be retained strictly for archival and maintenance purposes.
8. Disclaimer of Warranty
8.1. The Ecluso UI Kit is provided "AS IS" and "WITH ALL FAULTS," without warranties of any kind, whether express or implied.
9. Limitation of Liability
9.1. To the fullest extent permitted by law, Ecluso shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Ecluso UI Kit.
10. Severability
10.1. If any provision of this License is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11. Entire Agreement
11.1. This License constitutes the entire agreement between the Licensee and Ecluso concerning the Ecluso UI Kit and supersedes all prior agreements or understandings.
12. Governing Law and Jurisdiction
12.1. This License shall be governed by and construed in accordance with the laws of the Republic of Poland.
12.2. Any disputes arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the courts of the Republic of Poland.
