LICENSE AGREEMENT

Preamble
This Ecluso UI Kit License (the "License") sets forth the terms under which you may acquire, use, and distribute the Ecluso UI Kit product. The Ecluso UI Kit is a comprehensive design system for Figma, including design tokens, styles, components, and prebuilt section templates to accelerate e-commerce interface design. By using or distributing the Ecluso UI Kit, you agree to the terms of this License. If you do not agree, you may not use or distribute the product.
1. Definitions
1.1. "Ecluso UI Kit" means the complete set of design assets provided by Ecluso, including design tokens (colors, typography, spacing), styles, components, and section templates for use within Figma.
1.2. "Licensed Materials" means all elements, files, and assets included in the Ecluso UI Kit product and any modifications thereof.
1.3. "Licensee" means the individual or legal entity that has obtained rights to use the Ecluso UI Kit under this License.
2. Grant of License
2.1. Ecluso grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Licensed Materials within Figma for designing, prototyping, and presenting user interfaces in both personal and commercial projects.
2.2. The Licensee may copy, modify, and integrate the Licensed Materials into their own design files and combine them with other assets.
2.3. This License is perpetual and royalty-free, provided that the Licensee complies with all its terms.
3. Permitted Uses
3.1. Creating an unlimited number of mockups, prototypes, and final deliverables for any clients or internal projects.
3.2. Adapting, transforming, or building upon the Licensed Materials to create derivative works, which themselves remain subject to this License.
3.3. Exporting visual assets (PNG, JPG, PDF) and interactive prototypes (HTML/CSS) generated in Figma using the Licensed Materials.
4. Multi-User and Team Use
4.1. A single-user license authorizes one individual to use the Ecluso UI Kit.
4.2. To enable access for multiple individuals, the Licensee must purchase a team license.
4.3. Sharing, transferring, or sublicensing the Ecluso UI Kit (or any part thereof) to third parties without Ecluso's prior written consent is prohibited.
5. Restrictions
5.1. The Licensee may not: a) Redistribute, sublicense, or make the Licensed Materials available as a standalone product; b) Extract, decompile, or attempt to reverse-engineer any code or metadata embedded within the Licensed Materials; c) Use the Ecluso UI Kit in any competing design system or commercial offering.
6. Ownership and Copyright
6.1. All rights to the Ecluso UI Kit and its contents remain with Ecluso or its licensors.
6.2. This License does not grant any rights to Ecluso's trademarks, patents, or other intellectual property, except as expressly stated herein.
7. Termination
7.1. This License remains in effect until terminated. Any failure to comply with its terms will result in automatic termination.
7.2. Upon termination, the Licensee must delete all copies of the Licensed Materials and any derivatives.
8. Disclaimer of Warranty
8.1. The Ecluso UI Kit is provided "AS IS" and "WITH ALL FAULTS," without any warranties, express or implied.
9. Limitation of Liability
9.1. To the fullest extent permitted by law, Ecluso shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use of the Ecluso UI Kit.
10. Severability
10.1. If any provision of this License is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11. Entire Agreement
11.1. This License constitutes the entire agreement between the Licensee and Ecluso regarding the Ecluso UI Kit product.
